    9/2018 Conclusion of agreement of sales of property in Gdańsk

    Regulatory filing

    In relation to regulatory filings 2/2018 dated 22nd of January, 2018, and 7/2018 dated 20th of February, 2018, the Management Board of Agora S.A. with its registered seat in Warsaw (“Agora”, “Company”) hereby informs that on the 27th of February, 2018 the Company signed an agreement for sale of the right to perpetual usufruct of two properties of 347 square meters, total, in 19/20 Wełniarska Street and 7/8 Tkacka Street in Gdańsk, including the ownership of the building set on the land properties of net 1,508 square meters (“Property”).

    The decision to sell the Property stemmed from the fact that the Company did not utilize effectively the entire Property for its operations. The Company believes that the optimal solution shall be to lease office space adapted to the current scale of operations of the Company in Gdańsk.

    The total sale price of the Property amounted to PLN 8.65 million net, and its impact on the operating result of the Agora Group in 1Q2018 shall amount to ca PLN 5.6 million. 

    The value of the Property is not significant from the Company's perspective, however, due to its one-off and non-operational character and its positive impact on the operating results of the Agora Group for 1Q2018, information about the transaction should be made public in a current report.

    Legal basis: Article 17, paragraph 1 of Regulation (EU) No. 596/2014 of the European Parliament and of the Council of 16 April 2014 on market abuse (Market Abuse Regulation) and repealing Directive 2003/6/EC of the European Parliament and of the Council and Commission directive 2003/124/EC, 2003/125/EC and 2004/82/EC (Official Journal of the European Union L. 2014 No. 173, p. 1).
