Appeal of the President of the Office of Competition and Consumer Protection against the Judgment of the Court of the first instance amending in its entirety the decision of the President of the Office of Competition and Consumer Protection dated 7 January 2021, prohibiting the concentration - that is taking by Agora S.A. control over Eurozet Sp. z o.o.

Regulatory filing

Management Board of Agora S.A. with its registered office in Warsaw ("Agora", "Company"), with reference to the current report 4/2021 of 8 February 2021 and of 15/2022 of 12 May 2022, informs that on 28 July 2022 on the basis of information obtained at the registry of the District Court in Warsaw - Court of Competition and Consumer Protection ("Court"), the Company learned that on 26 July 2022, the President of the Office of Competition and Consumer Protection (“President of UOKiK”) appealed against the judgment of the Court of 12 May 2022 amending in its entirety the decision of the President of the Office of Competition and Consumer Protection of 7 January 2021, prohibiting Agora taking control over Eurozet Sp. z o.o. ("Decision").

After conducting the proceedings on the appeal of the Company on 12 May 2022, the Court announced a judgment changing in its entirety the decision of the President of UOKiK of 7 January 2021.

The Decision was changed by the Court in such a way that it expressed unconditional consent to the takeover of Eurozet Sp.z o.o. by Agora.

The President of UOKiK appealed against the above judgment. As at the date of publication of this current report, the Company has not been formally served with the appeal of the President of UOKiK. After the formal delivery of the document, about which Agora will inform separately, the Company plans to respond to the appeal of the President of UOKiK.
