27/2023 Conclusion of a conditional real estate sale agreement in Tychy

Management Board of Agora S.A. with its registered office in Warsaw ("Agora", "Company") informs that on June 14, 2023 the Company concluded a conditional agreement for the sale of a developed real estate located in Tychy at 4 Towarowa Street, for which the District Court in Tychy, 5th Division of Land Registry keeps a land and mortgage register with the number KA1T/00004100/9, consisting of plot No. 975/16 with an area of 27,774 square meters (respectively “Property” and “Conditional Agreement”).

The Conditional Agreement is a sale agreement with binding effects, concluded under the condition that Katowicka Specjalna Strefa Ekonomiczna, a joint-stock company with its registered seat at Katowice, a manager of the Katowice Special Economic  Zone shall not exercise its pre-emptive right granted under art. 8.2 of the Act on Special Economic Zones of October 20, 1994 (“Condition”). When the Condition is met, the Company shall conclude the agreement transferring ownership of the Property.

The sale price shall amount to PLN 19.65 million net, and the positive effect of the transaction on the Agora Group EBIT index in the second quarter of 2023 may amount to ca. PLN 1.5 million. The sale shall not materially affect the operating result of the Company in the second quarter of 2023, as the selling price of the Property is close to its book value indicated in the last unconsolidated quarterly financial report of the Company.

The value of the Property being the subject of the Conditional Agreement is not significant from the point of view of the Company, however, the Management Board concluded that due to the one-off and non-operational nature of the transaction and its potential impact on the Agora Group's operating results by the second quarter of 2023, it should be disclosed to the public in the form of a regulatory filing.

 

Legal basis: Art. 17 sec. 1 of Regulation (EU) No 596/2014 of the European Parliament and of the Council of 16 April 2014 on market abuse (market abuse regulation) and repealing Directive 2003/6/EC of the European Parliament and of the Council and Commission directives 2003/124/EC, 2003/125/EC and 2004/72/EC.
