Management Board of Agora S.A. with is registered seat in Warsaw (“the Company”) hereby informs about receiving a notification from the District Court for Warszawa-Mokotów in Warsaw, VII Land Registry, about establishing on August 23rd, 2017 mortgage on Agora's perpetual usufruct on the land located in Warsaw, at 8/10 Czerska Street and on Company's ownership right to the building located on that land. As of August 31st, 2017 the net book value of the mortgaged assets amounted to PLN 105,634,769.67 The value of mortgage entered into registry amounted to PLN 202,500,000.00.
The mortgage has been established for securing debts under the Credit Limit Agreement (“the Agreement”) with DNB Bank Polska Spółka Akcyjna (“the Bank") about which the Company informed in regulatory filing 6/2017 dated May 25th, 2017. The Agreement concerned a multi-purpose credit line of up to PLN 135,000,000.00.
The mortgage secures Bank's claims including i.a. repayment of capital, interest on capital, interest on delayed capital repayment, bank commissions and credit fees defined in the credit Agreement.
The Company hereby informs that it has repaid in full all liabilities due to the previous Multi-purpose Credit Limit together with commissions, interest and other receivables to Bank Polska Kasa Opieki S.A. on the basis of an agreement concluded on May 28th, 2014. The Company has also commenced proceedings to remove contractual mortgage established for Bank Polska Kasa Opieki S.A. which charges the aforementioned assets.
Legal basis: article 17, paragraph 1 of the Regulation of the European Parliament and Council Regulation (EC) No. 596/2014 of 16th of April, 2014 on market abuse (Regulation on Market Abuse), and repealing Directive 2003/6/EC of the European Parliament and of the Council and the Commission Directive 2003/124/EC, 2003/125/EC and 2004/72/EC.
