The Management Board of Agora S.A. with its registered seat in Warsaw (“Agora”) hereby informs that on 7 March, 2018 Agora and Kino Polska TV S.A. (“Kino Polska”) signed a letter of intent (“Letter of Intent”) regarding the potential purchase of all of Agora’s shares in Stopklatka S.A. (“Stopklatka”) by Kino Polska (“Transaction”). According to the Letter of Intent, Agora and Kino Polska shall negotiate about the rules and conditions of the potential Transaction.
The Letter of Intent does not constitute a binding commitment of Agora and Kino Polska to carry out the Transaction. The Letter of Intent is valid until June 30, 2018. Agora shall inform about further stages of the Transaction in separate regulatory filings.
Agora informed about investing in Stopklatka in regulatory filings 06/2013, 22/2013 and 03/2014. Currently, Agora owns ca. 41.14% of shares and of votes in Stopklatka. Execution of the Transaction shall mean discontinuation of investment in Stopklatka and, thus, discontinuation of Agora’s television activity.
