In relation to regulatory filings No. 33/2016 and No. 25/2017, the Management Board of Agora S.A. (“Company”) with its registered seat in Warsaw hereby informs that according to Change to the Conditional Agreement dated December 7th, 2017 sales of right of perpetual usufruct to undeveloped plot of land with the total area of 6,270 square meters in 85/87 Czerniakowska Street in Warsaw (“Property”) shall be executed till the end of February 2018, and not in 2017, as previously reported.
Concluded on December 7th, 2017 Change to the Conditional Agreement of October 27th, 2017 does not affect the character of the Conditional Agreement which shall remain a sales agreement with obliging effects executed on the condition that the Mayor of Warsaw shall not use the pre-emption right to the Property ("Condition").
If the Condition is met, till the end of February 2018, an agreement will be entered into by the Company disposing of the right of perpetual usufruct of the Property (agreement transferring the perpetual usufruct right to the Property), and its total value will amount to net PLN 19.0 million.
Due to the change of the date of sale of the right to perpetual usufruct, the Company informs that, according to its estimates, the positive impact of this transaction on the operating result (EBIT) of Agora S.A. and Agora Group will amount to approximately PLN 8.3 million in 2018, and not in 2017, as previously reported.
