In relation to regulatory filing 33/2016, Management Board of Agora S.A. with its registered seat in Warsaw (“Company”, “Agora”) hereby informs that on the 27th of October, 2017 the Company concluded a promised preliminary agreement on sale of the perpetual usufruct rights to undeveloped plot of land with the total area of 6,270 square meters on Czerniakowska Street 85/87 in Warsaw (“Property” and “Preliminary Agreement”, respectively).
The Conditional Agreement shall be commercial in nature with binding effects, concluded under the condition that the Mayor of Warsaw shall not use the pre-emption right to the Property ("Condition"). In the case of fulfillment of the Condition, an agreement disposing of the Property shall be concluded by the Company (a transfer contract).
The total net selling price of the Property shall amount to PLN 19.0 million, and the positive influence of this transaction on the Company's and Agora Group's operating result (EBIT) in 2017 shall amount to ca. PLN 8.3 million.
Legal basis: Article 17 section 1 of Regulation No. 596/20014 of the European Parliament and of the Council (EC) of 16 April 2014 on market abuse (Market Abuse Regulation) and repealing Directive 2003/6/EC of the European Parliament and of the Council and Commission Directive 2003/124/EC, 2003/125/EC and 2004/72/EC.
