28/2014 Information on decrease of the total voting rights below 10% threshold by a shareholder

The Management Board of Agora S.A. with its registered seat in Warsaw (the Company), hereby announces that on September 17, 2014, the Company obtained a notification, that as a result of share disposal in response to the Offer to buy shares of Agora S.A, ING Otwarty Fundusz Emerytalny (hereinafter referred to as the Fund) became the owner of the shares entitling the Fund to less than 10% of votes during a general meeting of shareholders of Agora S.A. The settlement of the transaction took place on September 12, 2014.

Before the transaction the Fund held 6,808,508 shares of Agora S.A. constituting 13.37% of Agora's share capital and was entitled to 6,808,508 votes during a general meeting of shareholders constituting 10.003% of total number of votes at a general meeting of shareholders.

On September 17, 2014 the Fund holds on its securities account 6,359,086 Company's shares constituting 12.48% of the Company's share capital. These shares entitle the Fund to 6,359,086 votes at the general meeting of shareholders of Agora S.A. constituting 9.34% of the total number of votes at a general meeting of shareholders.

Legal basis:

Art. 70 paragraph 1 of the Act of 29 July 2005 on public offering and the conditions for introducing financial instruments to the organized trading system and on public companies.
