02/2013 Information on decrease of the total voting rights below 33 1/3 % threshold by a shareholder

With reference to the current report no. 71/2005 dated September 16th, 2005 about incentive program, the Management Board of Agora S.A. with its registered seat in Warsaw ("The Company") hereby informs that on January 4th, 2013, the Company received a notification from Agora-Holding Sp. z o.o. ("Agora-Holding") about the transfer of 290,568 shares of Agora S.A. on January 4th, 2013, in the fulfillment of the terms of donation contract for the benefit of Partycypacyjny Fundusz Inwestycyjny Zamknięty ("Participatory Closed Mutual Fund") managed by Skarbiec Towarzystwo Funduszy Inwestycyjnych SA dated December 19,2012. The Fund was created for the execution of incentive program in Agora S.A. and its subsidiaries.

As a result of the disposal of shares described above, Agora - Holding's stake in the number of total voting rights at the General Meeting of Shareholders of Agora S.A. is less than 33 1/3 % of votes during a general meeting of shareholders of Agora S.A.

Before the decrease of the share in total voting rights, Agora Holding held 5,692,420 shares of Agora S.A. constituting 11.18% of the share capital of Agora S.A. and giving the right to 22.818.820 number of votes, constituting 33.53% of the total voting rights at Agora's General Meeting of Shareholders. 4,281,600 preferred shares of Agora S.A. constituting 8.41 % of Agora's share capital and giving the right to 21,408,000 number of votes, constituting 31.45% of the total voting rights at Agora's General Meeting of Shareholders and 1.410.820 ordinary shares of Agora S.A. constituted 2.77% of Agora's share capital and gave the right to 1.410.820 number of votes, constituted 2.07% of the total voting rights at Agora's General Meeting of Shareholders.

As a result of the disposal of shares described above Agora-Holding holds 5,401,852 shares of Agora S.A.constituting 10.60% of Agora's share capital and giving the right to 22.528.252 number of votes, constituting 33.10% of the total voting rights at Agora's General Meeting of Shareholders. 5,401,852 shares of Agora S.A. are divided in the following way: 4,281,600 preferred shares of Agora S.A. constituting 8.41 % of Agora's share capital and giving the right to 21,408,000 number of votes, constituting 31.45 % of the total voting rights at Agora's General Meeting of Shareholders and 1,120,252 ordinary shares of Agora S.A. constituting 2.20% of Agora's share capital and giving the right to 1,120,252 number of votes, constituting 1.65% of the total voting rights at Agora's General Meeting of Shareholders.
