    31/2012 Information on exceeding the 10% threshold by a shareholder

    Regulatory filing

    The Management Board of Agora S.A. with its registered seat in Warsaw (the Company), hereby announces that on October 10, 2012 the Company obtained a notification, that as a result of share purchase transactions on Warsaw Stock Exchange, settled on October 5, 2012, ING Otwarty Fundusz Emerytalny (hereinafter referred to as the Fund) became the owner of the shares entitling the Fund to over 10% of votes during a general meeting of shareholders of Agora S.A.

    Before the transaction the Fund held 6,800,746 shares of Agora S.A. constituting 13.35% of Agora's share capital and was entitled to 6,800,746 votes during a general meeting of shareholders constituting 9.99% of total number of votes at a general meeting of shareholders.

    On October 10, 2012 the Fund holds on its securities account 6,811,517 Company's shares constituting 13.37% of the Company's share capital. These shares entitle the Fund to 6,811,517 votes at the general meeting of shareholders of Agora S.A. constituting 10.008% of the total number of votes at a general meeting of shareholders.
