    4/2012 Information on decrease of the total voting rights below 10% threshold

    Regulatory filing

    The Management Board of Agora S.A. with its registered seat in Warsaw ("the Company"), hereby announces that on January 4, 2012 the Company obtained a notification from BZ WBK Towarzystwo Funduszy Inwestycyjnych S.A. acting on behalf of Arka BZ WBK Funduszu Inwestycyjnego Otwartego (hereinafter referred to as "Fund") that as a result of disposals of Agora's shares on December 28, 2011 Fund holds the number of shares decreasing their voting rights at the General Meeting of Shareholders of Agora S.A. below 10%.

    Before the decrease of the share in total voting rights described above Fund held 6,859,066 shares of Agora S.A. constituting 13.47% of the share capital of Agora S.A. and giving the right to 6,859,066 number of votes, constituting 10.08% of the total voting rights at Agora's General Meeting of Shareholders.

    On December 28, 2011, Fund held 5,585,522 shares of Agora S.A. constituting 10.97% of Agora's share capital and giving the right to 5,585,522 number of votes, constituting 8.21% of the total voting rights at Agora's General Meeting of Shareholders.

    Furthermore, BZ WBK Towarzystwo Funduszy Inwestycyjnych S.A. informed the Company, in accordance with requirements of article 46 clause 1 item 1 of the Act on Investment Funds dated May 27, 2004 (Polish Journal of Laws 146.1546 amend.) that BZ WBK Towarzystwo Funduszy Inwestycyjnych S.A. commissioned the management of investment portfolios of the funds to BZ WBK Asset Management S.A. As a result BZ WBK Asset Management S.A. is also obliged to take aforementioned shares into account in any notifications submitted to the Company.
