    Information on exceeding the 5% threshold by a shareholder



    Regulatory filing

    The Management Board of Agora S.A. with its registered seat in Warsaw (the Company), hereby announces that on September 29, 2011 the Company obtained a notification, that as a result of share purchase transactions on Warsaw Stock Exchange, settled on September 26, 2011, ING Otwarty Fundusz Emerytalny (hereinafter referred to as the Fund) became the owner of the shares entitling the Fund to over 5% of votes during a general meeting of shareholders of Agora S.A.

    Before the transaction the Fund held 2,808,637 shares of Agora S.A. constituting 5.51% of Agora's share capital and was entitled to 2,808,637 votes during a general meeting of shareholders constituting 4.13% of total number of votes at a general meeting of shareholders.

    On September 29, 2011 the Fund holds on its securities account 3,758,637 Company's shares constituting 7.38% of the Company's share capital. These shares entitle the Fund to 3,758,637 votes at the general meeting of shareholders of Agora S.A. constituting 5.52% of the total number of votes at a general meeting of shareholders.
