    Information on more than 2% decrease of the total voting rights

    Regulatory filing

    The Management Board of Agora S.A. with its registered seat in Warsaw (the Company), hereby announces that on September 7, 2011 the Company obtained a notification from BZ WBK Asset Management S.A. with its registered seat in Poznan (BZ WBK) about a decrease in the total voting rights at the General Meeting of Shareholders of Agora S.A.

    BZ WBK informed the Company that as a result of disposals of Agora's shares on September 1, 2011 clients, whose securities accounts are managed by BZ WBK (BZ WBK clients), held the number of shares decreasing their voting rights at the General Meeting of Shareholders of Agora S.A. by over 2%. In the previous notification BZ WBK informed the Company that BZ WBK clients had the right to 22.97% of the total voting rights at the General Meeting of Shareholders of Agora S.A.

    Before the transaction, BZ WBK clients held 14,277,951 shares of Agora S.A. constituting 28.03% of the share capital of Agora SA and giving the right to 20.98% of the total voting rights at Agora's General Meeting of Shareholders.

    As a result of disposals of Agora's shares on September 1, 2011, BZ WBK clients hold 14,210,951 shares of Agora S.A. constituting 27.90% of Agora's share capital and giving the right to 20.88% of the total number of votes at the General Meeting of Shareholders of Agora S.A.

    Furthermore, BZ WBK Asset Management S.A. informed the Company, in accordance with the requirements of article 46 clause 1 item 1 of the Act on Investment Funds dated May 27th, 2004 (Polish Journal of Laws 04.146.1546 amend.) that BZ WBK Towarzystwo Funduszy Inwestycyjnych S.A. commissioned the management of investment portfolios of the funds, under the authority of BZ WBK Towarzystwo Funduszy Inwestycyjnych S.A. (the Funds), to BZ WBK Asset Management S.A. As a result, in case of possession of shares of Agora S.A. by the Funds, BZ WBK Asset Management S.A. is obliged to take them into account in any notifications submitted to the Company.
