The Management Board of Agora may consist of three to six members. The Board conducts their activities in accordance with
the Company's statute and
its bylaws. The meetings of the Management Board are held once a week.
The Management Board fulfils its responsibilities in a collegial manner. In addition, each member manages
several areas of the Company's operations.
Currently, one member of the Management Board is not the Company's shareholder. The remuneration of the Board consists of a monthly salary and an annual incentive bonus in cash, approved by the Supervisory Board. The amount of the cash bonus depends on the Company's annual results.
In addition to the cash bonus, the grant also includes the right to purchase certificates of the Participatory Closed Mutual Fund managed by a Polish investment fund Skarbiec TFI S.A. The number of shares which may be acquired is calculated by the same method used for all participants in Agora's management incentive plan.
