Resignation from the post of the Vice President of the Management Board and the member of the Management Board of the Company

The Management Board of Agora SA ("the Company") hereby informs that today, for personal reasons and due to other professional plans, Mr. Jaroslaw Szalinski submitted his resignation from the post of the Vice President of the Management Board and the member of the Management Board of the Company. The resignation comes into force today.

Also today, the employment contract based on which Mr. Szalinski served as the Company's Financial Director was terminated. The terms and conditions of the termination assume uninterrupted takeover of the job by the new Financial Director and ensure continuity of financial and reporting processes within the Company. Based on the termination contract, Mr. Szalinski will serve as the Company's Financial Director till November, 30 2008 and will remain available for the Company in the above capacity until 31 May, 2009.

The Supervisory and the Management Boards of the Company wish to thank Mr. Jarosław Szaliński for his contribution to the Company's operations and its development.

With regards to the above, the Company's Management Board decided to appoint Mr. Grzegorz Kossakowski, a former Director of New Business Development, to the post of Agora's Financial Director. This function will be directly supervised by Agora's President.

Grzegorz Kossakowski joined Agora in November 2000, initially as the Transaction Manager in the New Business Development Division which he headed since April 2005. Together with Agora's Management Board Grzegorz executed, among others, the purchase of Prószyński i S-ka-Czasopisma (Agora's magazine business) and of the leading out-of-home advertising company, AMS. Following the AMS transaction, Grzegorz took part in its post-acquisition restructuring and integration within the Agora capital group.

His job description at Agora included, inter alia, running analyses, preparing valuations and business models, as well as conducting legal and business due diligence processes for all new businesses and projects within the Group (both organic and acquisitions). He also participated in the preparations and negotiations of transactional documents.

In 1996-2000, Grzegorz worked for Arthur Andersen in the Corporate Finance Department where he led a number of investment projects, including attracting capital mainly for TMT companies.

Since 2007 he has been delivering guest lectures on "Mergers and acquisitions" at the post-graduate program of Szkola Wyższa im. Romualda Kudlińskiego in Warsaw.

Grzegorz Kossakowski was born in 1972. He graduated from Poznan University of Economics (Summa Cum Laude diploma) and received his MBA diploma in 2003 from Manchester Business School (the diploma of Merit Award). He also participated in Advanced Executive Program at Northwestern University & Kellogg School of Management.
