Agora-Holding Sp. z o.o.
Agora-Holding owns series A, B and D shares. Series B and D shares, in accordance with rules described in prospectus, are intended for incentive plans executed in Agora and its subsidiaries: till 2004 employees purchased Company's shares and since 2005 the incentive plans are executed through certificates acquired from Partycypacyjny Zamkniety Fundusz Inwestycyjny (Participatory Closed Mutual Fund) managed by Skarbiec Towarzystwo Funduszy Inwestycyjnych S.A.

Since the Company's IPO Agora-Holding Sp. z o.o. has held all series A registered shares. At that time Agora's share capital structure was subjected to the idea of maintaining "Gazeta Wyborcza's" autonomy and was adopted before the Company's IPO. All privileges connected with the possession of series A registered shares were disclosed in the Company's prospectus. All rights, obligations and rules relating to the disposal of series A registered shares are described in Agora's Statute .

Today, profit from Agora-Holding operations is devoted mainly to charity (most of it to finance activities of Agora's Foundation created in October 2004).
