The Management Board of Agora SA with its registered seat in Warsaw ("The Company") hereby informs on the appointment of members to the Company's Supervisory Board on the basis of the resolutions of the Annual General Meeting of June 23, 2009:
Mr. Andrzej Szlęzak, a Senior Partner of law firm Sołtysiński, Kawecki & Szlezak (SK&S) for the position of the chairman of Agora's Supervisory Board
Mr. Andrzej Szlęzak joined SK&S shortly after it was formed in 1991. In 1993, he became a partner, and in 1996 a Senior Partner of the firm. In SK&S he has been engaged in legal services for a number of privatizations and the restructuring processes of numerous sectors of Polish industry and the banking sector. He supervised numerous projects involving mergers and takeovers, took part in greenfield projects, prepared a large number of transaction documents, and was the author of numerous legal opinions on civil and commercial law. He was involved in the work of the commission for reducing bureaucracy in the economy set up by the prime minister Leszek Balcerowicz. He is an arbitrator of the Arbitration Tribunal at the Polish Chamber of Commerce in Warsaw. Dr. Andrzej Szlezak is the author of numerous publications on civil and commercial law, including foreign-language publications.
Mr. Andrzej Szlęzak received his Master's degree in English from the English Philology Department and his Master's degree in law from the School of Law Administration of the A. Mickiewicz University in Poznan. From 1979 to 1981 he was a trainee judge at the Voivodship Court in Poznan. As of 1979 he was a research worker at the Civil Law Institute of the A. Mickiewicz University, where he received his Doctor's degree and he wrote his post-doctorial thesis in civil law. He was a professor at the A. Mickiewicz University from 1994 till 1996. Dr. Szlezak was a scholarship student at a number of foreign faculties, including the universities of Oxford and Michigan. At present, Dr. Szlęzak is a professor at the Lazarski's University of Commerce and Law in Warsaw.
Mr. Sławomir S. Sikora, a President of the Management Board of Bank Handlowy w Warszawie S.A. for the position of the member of Agora's Supervisory Board
President of the Management Board of Bank Handlowy w Warszawie S.A., Chief Executive Officer and Citigroup Country Officer for Poland. He is responsible for Citigroup operations in Poland including Bank Handlowy w Warszawie S.A. and its subsidiaries, as well as other Citigroup activities in Poland.
Prior to joining Bank Handlowy w Warszawie S.A. he was a President of the Management Board of American Bank in Poland, where he successfully implemented a major restructuring program. Between 1994 and 2002 he was a Deputy President of the Management Board of Powszechny Bank Kredytowy S.A. (PBK) where he was responsible for Corporate and Investment Banking and Risk Management.
Prior to PBK, for five years, he served at the Ministry of Finance, initially as an advisor to Prof. Leszek Balcerowicz, Deputy Prime Minister and Minister of Finance. Until 1994, for four years, he headed Banking and Financial Institutions Department. In this capacity he was responsible for setting up regulations for the banking and insurance sector.
He graduated from the Central School of Planning and Statistics (currently Warsaw School of Economics).
In 1989 he studied at University of Cologne during doctoral programme.
Mr. Tomasz Sielicki, Deputy President of Supervisory Board of Sygnity SA for the position of the member of Agora's Supervisory Board
Mr. Tomasz Sielicki graduated from the Electronics Department of the Warsaw University of Technology. He has worked in Sygnity SA (formerly ComputerLand SA) since its formation in 1991. He was the President of the Management Board from 1992 to June 2005. In 2005 he was appointed for two years for the position of the President of the Sygnity Group (formerly ComputerLand Group). He is widely recognized as a creator of the company's success. In 2007 General Annual Meeting of Shareholders of Sygnity SA appointed Mr. Tomasz Sielicki for the position of the of Sygnity's Superviosory Board. Mr. Sielicki is an investor of enterprises in several branches.
Tomasz Sielicki is a member among the others of Main Board of the Polish Confederation of Private Employers LEWIATAN, Board of Junior Achievement Foundation, and Board of the "United Way" Fund. He is a member of the Supervisory Board of Budimex S.A.
In 1995, Mr. Sielicki was awarded a prestigious INFO-STAR prize. In 1999, he was named the Polish Business Leader - the title was granted by the Business Center Club to ComputerLand company and to him personally. In 1999, The Wall Street Journal placed him on the list of Central Europe's Top 10 Executives. During the World Economic Forum in Davos, in 1999, he was honoured with a prestigious Global Leader for Tomorrow prize, awarded to outstanding personalities from politics and business by the Forum's organizers and the "WorldLink" magazine. In 1997 and 2001, he received an award for the Best Public Company, granted to ComputerLand by Parkiet for the rise in the value of shares. In 2005 Tomasz Sielicki as the only Pole was awarded together with 25 personalities with rank "Stars of Europe 2005" of European edition of prestigious "BusinessWeek" magazine. Ranking "Stars of Europe" presented 25 persons from politics, business and fashion, who are "change leaders in united Europe". In April 2006 was awarded with prestigious prize of Polish IT sector given by Polish Chamber of IT and Telecommunications. This prize is given to the persons, who particularly contributed to development of IT and telecommunication market.
Mr. Marcin Hejka, director of Intel Capital for the position of the member of Agora's Supervisory Board
Mr. Marcin Hejka is a director of Intel Capital responsible for the company's activities in Central and Eastern Europe and in Russia. Since 2004 he has been the deputy president of the Polish Private Equity Association.
He started his professional career in 1990 as a financial analyst in the Paribas Capital Markets Group. Since 1990 he worked in Banexi as a specialist responsible for investments in Poland. Between 1995 and 1999 he served as a deputy president of Poland Growth Fund. Mr. Hejka was the Supervisory Board member of: Bank Komunalny S.A. (1995-1999) and Kredyt Bank S.A. (1997-1999). Between 1998-1999 he held the position of the deputy chairman of the Supervisory Board of Dromex S.A. Mr. Hejka is an economist. He studied at the University of Gdansk. Mr. Marcin Hejka has been a Supervisory Board member of Agora SA since January 22, 2009.
Mrs. Wanda Rapaczynski for the position of the member of Agora's Supervisory Board to replace Mr. Sanford Schwartz
Mrs. Wanda Rapaczynski served as the President of Agora SA since 1998 until her retirement in 2007. Under her leadership, Agora grew into one of the largest and best known media companies in Central and Eastern Europe. After her retirement, Mrs Wanda Rapaczynski continued involvement with Agora, serving on the Board of Agora Foundation and advising its Supervisory Board till the day of the election for the position of the member of Agora's Supervisory Board.
During her tenure at Agora, Wanda Rapaczynski represented the Company in the European Publishers Council and in the Polish Confederation of Private Employers, serving on its Main Board as well as on the Supervisory Board of Polish Private Media and Advertising Employers.
In 1984, Mrs. Wanda Rapaczynski joined Citibank NA in New York where she was in charge of new product development until 1992. Between 1980 and 1982 she led a research project at Psychology Department of Yale University and, prior to that, she was a postdoctoral fellow at Educational Testing Service in Princeton. She started her professional career teaching psychology at universities in New York and Connecticut.
In May 2008, she was elected a non-executive member of the Board of Adecco SA, an international recruitment services company registered and listed in Switzerland.
Wanda Rapaczynski serves on the Board of Trustees of Central European University in Budapest and chairs its Audit Committee. She is a member of the International Advisory Council at Brooking Institution in Washington and of President's Council on International Activities at Yale University. She has been a member of the Trilateral Commission since 2002.
Wanda Rapaczynski has been honored with numerous Polish and international awards and distinctions. Among others, in FT's ranking Europe's Top 25 Women in Business she placed 5th in 2006, 6th in 2005 and 8th the year before. She was named twice in rankings conducted by the WSJ: in 2002 as one of the 25 most influential women in business in Europe and the prior year as one of the 30 most influential women on the European scene. In 2001, Business Week named her one of its 50 Stars of Europe.
Wanda Rapaczynski was born in 1947 in Poland. In 1977 she received a Ph.D. in Psychology from City University of New York. She is also a graduate of Yale University School of Management from which she received an MPPM degree in 1984.
