Resignation of a Supervisory Board Member

The Management Board of Agora SA (the "Company") informs that on June 12, 2009, the Company was notified by Mr. Sanford Schwartz of his resignation from the membership in the Supervisory Board of Agora SA, effective as of the moment of closing of the annual general meeting approving the financial statement for 2008.

Mr. Sanford Schwartz gave the following reason for his resignation:

"The reason for my resignation is that due to my new position as President of Cox Media Group, a subsidiary of Cox Enterprises, and additional duties related thereto, I am unable to assign sufficient time and attention to the important work on the Supervisory Board of Agora S.A."
