Appointment of new Management Board Member

The Management Board of Agora SA (the "Company") informs that pursuant to par. 28 section 3 of the Company's statutes, the Management Board of the Company elected by way of co-option additional member of the Management Board, Mr. Grzegorz Kossakowski, the Financial Director of the Company.

Mr. Grzegorz Kossakowski has been the Financial Director of the Company since 1 December 2008. He has been with Agora since November 2000, initially as the Transaction Manager in the New Business Development Division which he headed since April 2005. In November 2008 he took the position of the Financial Director. He oversees also IT Division.

His job description at Agora included, inter alia, running analyses, preparing valuations and business models, as well as conducting legal and business due diligence processes for all new businesses and projects within the Group (both organic and acquisitions). He also participated in the preparations and negotiations of transactional documents.

In 1996-2000, Grzegorz worked for Arthur Andersen in the Corporate Finance Department where he led a number of investment projects, including attracting capital mainly for TMT companies.

Since 2007 he has been delivering guest lectures on "Mergers and acquisitions" at the post-graduate program of Szkola Wyzsza im. Romualda Kudlinskiego in Warsaw.

Grzegorz Kossakowski was born in 1972. He graduated from Poznan University of Economics (Summa Cum Laude diploma) and received his MBA diploma in 2003 from Manchester Business School (the diploma of Merit Award). He also participated in Advanced Executive Program at Northwestern University & Kellogg School of Management.

Grzegorz Kossakowski does not conduct any activity other than within the business of the Company.

There have been no records concerning Mr. Grzegorz Kossakowski in the Registry of Insolvent Debtors, kept on the basis of the Act on the National Court Registry.
