Resignation from the post of the President of the Management Board of Agora SA
The Management Board of Agora SA ("the Company") hereby informs that, for personal reasons, today (November 13, 2008) Mr. Marek Sowa submitted his resignation from the post of the President of the Management Board and the member of the Management Board of the Company. The resignation comes into force today. The Supervisory Board wishes to thank Mr. Marek Sowa for his contribution to the Company's development.

Change in the Management Board of Agora SA
In connection with current report no. RB 65/2008, on November 13, 2008, pursuant to par. 33 section 1 of the Company's Statutes, the Management Board of Agora SA elected Mr. Piotr Niemczycki the President of the Management Board for the post of office ending as of the day of the closing of the Annual General Meeting of Shareholders approving the Company's financial statements for 2008.
In addition, pursuant to par 28 section 3 of the Company's statutes, the Management Board of the Company elected by way of co-option additional member of the Management Board, Mr. Tomasz Józefacki, Head of Agora's Internet operations.
The above changes in the composition of the Management Board do not affect the substance of the Company's growth strategy.
Tomasz Józefacki started his career with Agora in September 2004 as the Director of Local Branches of "Gazeta Wyborcza". In April 2006 he took the position of the Director of Development. In this capacity, he was responsible for technological and business projects at "Gazeta Wyborcza". Since June 2006, he supervises Agora's Internet Division.
Before joining Agora, till the end of August 2004, he worked for The New York Times Company, where he was responsible for marketing and promotion of NYTimes.com, number one newspaper-owned website in the world. In 2002 Tomasz was promoted to a Head of Strategic Development of Business, Technology and Real Estate verticals of the NYTimes.com site.
Since 2002 he has been delivering guest lectures at the MBA courses of the New York University's Stern School of Business. Since 1996 he has been a member of The Advertising Club of New York. Since October 2007 he has been the Vice President of Online Publishers Association Europe.
Tomasz Józefacki was born in 1973. He graduated from University of Maryland College Park with an degree in Japanese Cultural Studies and International Marketing and Business from the Stern School of Business of the New York University (diploma with honors). He received his MBA diploma in 2002 from the same university.
Tomasz Józefacki does not conduct any activity other than within the business of the Company save for a position in the management Board of Trader.com (Polska) Sp. z o.o., all shares of which are owned by Agora SA. The above activity is not competitive for the business of the Company.
There have been no records concerning Mr. Tomasz Józefacki in the Registry of Insolvent Debtors, kept on the basis of the Act on the National Court Registry.
